Manning & Napier Investor Services, Inc. (“MNBD”), an affiliate of the aforementioned Callodine Group companies, has a selling arrangement in place that allows MNBD to sell the Fund. The Fund is distributed by Distribution Services, LLC, which is not affiliated with the Callodine Group companies or any of their affiliates or individuals named within.

The Fund is an interval fund that makes quarterly repurchase offers of 5%–25% of outstanding shares at NAV. It is speculative, illiquid, and may not suit all investors.
